Revenue-based financing (RBF) has become one of the fastest-growing segments in alternative finance. Yet faster growth also brings greater underwriting challenges, as funders must balance faster decisions with prudent risk management. At the core of every decision is one question: Can this business generate enough consistent revenue to repay the advance without putting the portfolio at risk?

This article explores the key principles of RBF underwriting, from application review and cash flow analysis to offer pricing.

Step 1: Review the Application Form

The application is your first filter. Many weak deals can be identified before you ever open a bank statement.

  • Identity check: Confirm the legal business name, EIN, ownership, and address match Secretary of State records and other public sources.
  • Time in business: Most RBF funders require a minimum of 6 to 12 months. Younger businesses have less predictable cash flow.
  • Industry & NAICS: Some industries carry higher default risk than others. Verify that the company's NAICS code accurately reflects its actual business operations.

Step 2: Analyze the Bank Statements

Bank statements provide the clearest picture of a company's financial health. Review the most recent three to six months and focus on trends, not isolated transactions.

  • Revenue: Look for stable deposits rather than one exceptional month. Consistent cash flow is a stronger indicator of repayment ability.
  • Cash flow: Review average daily balances, deposit frequency, and whether the business regularly runs low on cash before new deposits arrive.
  • NSFs: Frequent non-sufficient funds or overdrafts suggest ongoing cash flow pressure and deserve closer review.
  • Existing financing: Review active financing obligations and evaluate whether the business can support another daily or weekly remittance. Dragin's Bank Scrubber automatically detects active stacking, calculates total revenue, and categorizes transactions in seconds.

Step 3: Credit and Background Check

RBF underwriting is driven primarily by cash flow. Nevertheless, credit and background checks provide valuable context.

  • Credit profile: Review recent judgments, tax liens, UCC filings, bankruptcies, and payment history. The story behind the credit file often matters more than the score itself.
  • Public records: Search both the business and owner for lawsuits, regulatory actions, or fraud-related news. Dragin's Underwriting Tool digs deeper into financial behavior, business records, legal history, and public data for a complete risk picture.

Step 4: Risk Assessment & Pricing

Once underwriting is complete, the next step is to structure an offer. Both external market conditions and business-specific risk factors should inform your pricing decisions.

  • Environment risk: Macroeconomic conditions like economic health and Federal Reserve interest rate movements can affect a company's repayment capability and a funder’s pricing decisions.
  • Industry risk: Businesses with predictable recurring revenue are typically less volatile than seasonal or cyclical ones. The trucking industry, for example, has become higher risk for many funders in recent years due to freight market volatility and margin compression.
  • Repayment capacity: Structure the advance amount and repayment terms around sustainable cash flow, rather than the maximum amount requested.

Common Underwriting Red Flags

Not every red flag means a deal should be declined. Businesses have good months and bad months, and isolated issues can happen for reasons that don't reflect the overall health of the business. What matters more is whether the issue is recurring, and whether other warning signs point to the same problem.

Here are some key red flags that underwriters should pay close attention to:

  • Declining revenue: One slow month isn't necessarily a problem, but a steady downward trend deserves a closer look.
  • Frequent NSFs: An occasional NSF happens. Repeated NSFs or negative balance days may point to ongoing cash flow issues.
  • Existing stacking: Multiple active positions can put significant pressure on cash flow, especially when daily or weekly payments are already high.
  • Irregular deposits: Large spikes, unexplained deposits, or sudden changes in deposit patterns may not reflect the business's normal revenue.
  • Application mismatches: If the application doesn't match the bank statements, ownership records, or public data, it's worth digging deeper.

The pattern matters more than any single event. One NSF in six months may simply be a timing issue. But frequent NSFs combined with declining revenue and several existing positions tell a very different story: the business may already be struggling to meet its current obligations.
